IPrate Terms of Use

These Terms of Use ("Terms") govern access to and use of the IPrate website, including any pages, subdomains, and related services, features, content, ratings, scores, reports, datasets, and other materials made available through the website (collectively, the "Services").
By accessing, browsing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Definitions
"IPrate" ("we", "us", or "our") means the operator of the IPrate website as identified on the Services.
"You" or "user" means any person or entity that accesses or uses the Services.
"IPrate Content" means all content made available through the Services, including text, graphics, software, user interface elements, and documentation.
"IPrate Ratings and Data" means any rating, score, ranking, metric, label, classification, review, commentary, dataset, compilation, or other data (including any underlying database or dataset structure) presented, generated, curated, or made available through the Services.
2. Eligibility and Authority
You represent that you are at least 18 years old and that you have the legal capacity and authority to enter into these Terms (including on behalf of an organization, if applicable). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Permitted Use and Acceptable Use
Subject to these Terms, IPrate grants you a limited, non-exclusive, non-transferable, and revocable permission to access and use the Services for lawful purposes.
You agree not to:
- use the Services in any way that violates applicable laws or regulations;
- interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems;
- use any automated means (including bots, scrapers, spiders, or similar tools) to access, extract, copy, or monitor the Services or any IPrate Ratings and Data, except where IPrate has provided an express written authorization or a documented interface allowing such access;
- remove, obscure, or alter any proprietary notices, attributions, or disclaimers;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, models, methodologies, weighting, or algorithms used to generate IPrate Ratings and Data, except to the extent such restriction is prohibited by mandatory law;
- use the Services or IPrate Ratings and Data to design, build, train, validate, benchmark, or improve a competing product or service, or to create a substitute dataset, rating system, index, or similar competing offering;
- misrepresent the source, meaning, or context of IPrate Ratings and Data.
4. Intellectual Property, Ownership, and Attribution
All rights, title, and interest in and to the Services, IPrate Content, and IPrate Ratings and Data are owned by IPrate or its licensors and are protected by intellectual property and other applicable laws. This includes (without limitation) copyright, sui generis database rights (where applicable), trademarks, trade secrets, and rights in compilations and data selections/arrangements.
Except for the limited permission expressly granted in these Terms, no rights are granted to you by implication or otherwise, and all rights are reserved.
4.1 Limited right to reproduce with attribution
You may reproduce and reuse limited portions of IPrate Ratings and Data (for example, small excerpts or quotations) only if:
- the use is non-bulk and does not constitute a substantial part of any IPrate dataset or compilation;
- the use does not enable third parties to avoid visiting the Services or obtaining authorization from IPrate;
- the use is accompanied by a clear and visible reference to IPrate as the source (e.g., "Source: IPrate") and, where practical, a link to the relevant page on the Services;
- you do not modify the excerpt in a way that is misleading.
4.2 Prohibition on bulk commercial use and competitive use
Bulk extraction, copying, aggregation, republication, resale, sublicensing, distribution, or other commercial use of IPrate Ratings and Data (including via data feeds, APIs, web scraping, mirroring, or database copying) is prohibited without IPrate's prior express written authorization.
Without limiting the above, you may not use IPrate Ratings and Data or any part of the Services for competitive intelligence that is aimed at replicating IPrate's product, for reverse engineering, or for designing, developing, or marketing a competing product or service.
5. Accuracy, No Reliance, and User Responsibility
IPrate Ratings and Data are provided for general informational purposes only. They may be incomplete, outdated, or inaccurate and may change over time.
You are solely responsible for how you interpret and use the Services and any IPrate Ratings and Data. You should independently verify information before relying on it for any decision. IPrate does not provide legal, financial, investment, tax, or other professional advice.
6. Third-Party Content and Links
The Services may reference or link to third-party websites, content, or services. IPrate does not control and is not responsible for third-party content or practices. Accessing third-party resources is at your own risk, and your relationship with third parties is governed by their terms.
7. Changes to the Services; Suspension and Discontinuation
IPrate may, at any time and in its sole discretion, modify, suspend, discontinue, or remove any part of the Services (including any IPrate Ratings and Data), temporarily or permanently, without notice and without liability to you.
IPrate may also impose limits on certain features or restrict access to parts or all of the Services.
8. Changes to these Terms
IPrate may update these Terms from time to time. Any changes will become effective when the updated Terms are posted on the Services. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
9. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services, IPrate Content, and IPrate Ratings and Data are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory.
Without limiting the foregoing, IPrate disclaims any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
IPrate does not warrant that the Services will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components, or that any defects will be corrected. IPrate does not warrant the accuracy, completeness, reliability, usefulness, or usability of any IPrate Ratings and Data.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will IPrate (or its directors, officers, employees, contractors, agents, affiliates, or licensors) be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, use, data, or other intangible losses, arising out of or related to your access to or use of (or inability to access or use) the Services, even if IPrate has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, IPrate's total aggregate liability for all claims arising out of or relating to these Terms or the Services will not exceed the greater of: (a) the total amounts you paid to IPrate for the Services in the two (2) months immediately preceding the event giving rise to the claim, or (b) EUR 50. If you have not paid IPrate for the Services, IPrate's total aggregate liability will not exceed EUR 50.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless IPrate and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your infringement or misappropriation of any intellectual property or other rights of any person or entity.
12. Governing Law and Exclusive Jurisdiction
These Terms and any dispute or claim arising out of or in connection with the Services (including non-contractual disputes or claims) are governed by the laws of the Republic of Lithuania, without regard to conflict of law rules.
The courts of the Republic of Lithuania shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Services. You submit to the exclusive jurisdiction of those courts.
13. Miscellaneous
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver: A failure by IPrate to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or any rights or obligations under them without IPrate's prior written consent. IPrate may assign these Terms without restriction.
Entire agreement: These Terms constitute the entire agreement between you and IPrate regarding the Services and supersede any prior or contemporaneous understandings on that subject.
